POLICIES

These policies apply to studio bookings and services provided by Degraw Sound. Any project-specific proposal, estimate, deal memo, scope of work, or other written agreement may establish additional or different terms. In the event of a direct conflict, the project-specific written agreement will control.

Booking & Scheduling

A 50% nonrefundable deposit is required for all bookings and must be received within forty-eight (48) hours of the invoice being issued to the Client. Bookings and projects are not considered confirmed until the required deposit has been received.

Deposits are earned upon receipt in consideration of reserving specific dates and times and removing those dates from studio availability. Once a booking is confirmed, the reserved time is held exclusively for that project.

Deposits apply solely to the originally scheduled session or sessions and are nonrefundable and non-transferable. If the Client chooses to cancel, postpone, reschedule, shorten, relocate, or otherwise modify a booked session or project for any reason, the original deposit will be forfeited and a new deposit will be required to reserve future dates, subject to studio availability.

For projects reserving multiple consecutive days or extended blocks of studio time, Degraw Sound reserves the right to require additional progress payments or advance payments. Because extended bookings may prevent Degraw Sound from accepting other work, the applicable proposal or agreement may also establish additional cancellation or postponement charges.

Studio availability is offered on a first-come, first-served basis. Degraw Sound cannot guarantee that previously reserved dates, personnel, services, or pricing will remain available following a cancellation, postponement, or rescheduling request.

Sessions cancelled with fewer than forty-eight (48) hours’ notice will forfeit all payments made, and the Client will remain responsible for the full remaining balance of the scheduled session or sessions.

Failure to appear for a scheduled session without prior notice constitutes a cancellation, and the scheduled session will be billed in full.

Session time begins at the scheduled start time regardless of the Client’s arrival time or the arrival time of the Client’s employees, musicians, guests, contractors, or other representatives. Late arrivals do not extend the scheduled session unless additional time is available and approved by Degraw Sound.

If Degraw Sound is unable to provide a scheduled session due to circumstances beyond its reasonable control — including fire, flood, severe weather, extended utility interruption, government action, labor dispute, public emergency, or a similar force majeure event — Degraw Sound’s obligation will be limited to rescheduling the affected services or refunding payments attributable to services that cannot be provided.

PaymentS

Unless otherwise provided in a written agreement, invoices are payable according to the terms stated therein. Any remaining balance is due upon completion of the scheduled services or before the delivery or release of any files or other deliverables, whichever occurs first.

Deposits and other payments may be made by check payable to “Degraw Sound Corp.,” wire transfer, PayPal, or any major credit card accepted through Square. A 3.5% processing fee may apply to PayPal or credit-card transactions. The Client is responsible for any costs or fees associated with returned checks, rejected transfers, chargebacks, or failed payments.

Sessions extending beyond their scheduled end time will be billed in half-hour increments at the applicable rate.

A late payment fee of ten percent (10%) will be assessed on unpaid balances after seven (7) days, again after twenty-eight (28) days, and every seven (7) days thereafter until payment is received in full.

Degraw Sound may suspend studio access, project work, revisions, file delivery, and any other services until all outstanding balances have been paid.

All work — including recordings, audio files, session files, multitracks, edits, stems, mixes, masters, alternate versions, recalls, documents, and other deliverables — will remain under the control of Degraw Sound until payment has been received in full. No work products or deliverables will be released while an outstanding balance remains.

Projects remaining unpaid for more than twenty-eight (28) days may be deemed abandoned. Degraw Sound may discontinue work, retain all work, delete project materials in accordance with the Data Storage & Backups section, and terminate any further obligation to complete or deliver the project.

Recording, Mixing & Deliverables

The services, deliverables, schedule, and number of included mix-revision rounds will be determined by the applicable proposal, estimate, deal memo, agreement, or scope of work for each project. Included mix revisions are intended to address reasonable notes and feedback on the delivered mix.

Requests for substantial production changes, new edits, additional tuning, timing correction, replacement recordings or stems, arrangement changes, alternate versions beyond those originally agreed upon, work falling outside the agreed scope, requests exceeding the included number of revision rounds, or revisions requested after a mix has been approved may be billed at Degraw Sound's standard hourly rate.

Unless otherwise included in the project's scope of work, requests for work-in-progress bounces, rough mixes, reference mixes, interim exports, stems, alternate reference versions, or other temporary reference deliverables may be billed at Degraw Sound's standard hourly rate.

Revision notes should be submitted as a complete and consolidated set from the Client or the Client's designated representative. Additional or conflicting notes received separately from artists, managers, labels, band members, or other parties may be treated as an additional revision round or billed as additional work.

A revision round is considered used once Degraw Sound has commenced work in response to the submitted notes.

Degraw Sound will determine in good faith whether a request falls within an included mix revision or constitutes additional production, recording, editing, technical, or delivery work.

Approval of a mix may be communicated in writing, by email or text message, through authorization to master or release the recording, or by any other clear indication that the mix has been accepted. Changes requested after approval will be considered additional work.

Additional Services & Fees

Equipment not included in Degraw Sound’s existing collection may be rented at the Client’s request. A quote will be provided for approval before the rental is confirmed. Rental costs and related expenses must be paid in advance and are nonrefundable once the equipment has been reserved.

Piano tuning is available for $250 and is recommended for piano-intensive sessions. A tuning must be requested at the time of booking or at least seven (7) days before the scheduled session. Pricing is subject to the availability and rates of the piano technician.

Reference CDs, DVDs, physical media, and physical data backups are billed at the applicable media cost plus any studio time required to prepare, transfer, or verify the materials.

Travel, accommodations, transportation, catering, musicians, equipment rentals, shipping, couriers, and other third-party expenses arranged by Degraw Sound at the Client’s request will be billed to the Client. Degraw Sound may require advance payment before committing to any third-party expense.

Film shoots, photography sessions, livestreams, events, and other non-recording uses of the studio may incur additional charges and may require a certificate of insurance, location agreement, liability waiver, security deposit, or other documentation.

The Client is responsible for all approved third-party costs incurred on the Client’s behalf, including costs that become nonrefundable due to cancellation, postponement, or changes requested by the Client.

Data Storage & Backups

The Client is responsible for providing a properly formatted, Mac-compatible external drive for the transfer and off-site storage of project files leaving the studio. Degraw Sound strongly recommends that the Client maintain at least two current backups in separate locations.

Time spent preparing, transferring, organizing, consolidating, verifying, or backing up files is considered part of the booked session or project time and may be billed accordingly.

The Client is solely responsible for maintaining copies of all files delivered by Degraw Sound and for confirming promptly that transferred files are complete and accessible. Degraw Sound is not responsible for educating the Client regarding the care, maintenance, compatibility, or storage of digital media.

Degraw Sound will make reasonable efforts to safeguard project files while they remain on studio systems. However, no digital-storage system is guaranteed against failure, corruption, accidental deletion, theft, or other loss.

To the fullest extent permitted by law, Degraw Sound’s liability for loss or corruption of Client data while stored on studio systems will be limited to the reasonable cost of the unrecorded storage media and the value of studio time incurred since the Client’s most recent confirmed backup, not to exceed one (1) day of studio time.

Project files may be permanently deleted thirty (30) days after completion, final delivery, or the last scheduled session, whichever occurs last, without further notice. Continued storage beyond that period is not guaranteed unless separately agreed in writing.

Projects remaining inactive for more than ninety (90) days may be treated as inactive or abandoned. Before work resumes, Degraw Sound may require payment of outstanding balances, a new deposit, updated scheduling, revised pricing, a new project estimate, or restoration and preparation fees.

The Client should not rely on Degraw Sound as the sole archive or permanent custodian of any recording, session, mix, master, or other project material.

General Liability

Degraw Sound shall exercise reasonable care in safeguarding Client property left on the premises but assumes no responsibility for loss or damage resulting from theft, fire, flood, acts of God, or other circumstances beyond its reasonable control.

In the event of willful negligence by Degraw Sound resulting in damage to Client recording media, liability shall be limited to replacement of the unrecorded media and the value of studio time incurred since the Client's most recent backup, not to exceed one (1) day's studio time.

Degraw Sound will make every reasonable effort to maintain studio equipment in proper working order. In the event of equipment failure, liability shall be limited to waiving charges for studio time directly affected by the equipment failure.

Studio Conduct & Damages

The Client is responsible for the conduct of all employees, musicians, guests, contractors, invitees, representatives, and agents brought onto the premises in connection with the Client’s booking.

The Client is responsible for any loss of or damage to Degraw Sound’s premises, instruments, equipment, furnishings, fixtures, artwork, or other property caused by the Client or anyone associated with the Client through misuse, negligence, carelessness, unauthorized handling, or willful misconduct.

Studio equipment, instruments, microphones, consoles, outboard equipment, and other property may not be moved, rewired, opened, modified, repaired, or operated outside their intended use without authorization from Degraw Sound personnel.

Smoking, vaping, and the burning of tobacco, cannabis, incense, candles, or any other substance are prohibited within the Studio.

Glitter, confetti, powders, theatrical smoke or haze effects, paints, dyes, adhesives, sand, soil, open flames, wax, liquids, or any other substance or material that may cause damage, contaminate studio equipment or acoustic treatment, or require specialized cleaning may not be brought into or used within the Studio without prior written approval.

If any unauthorized or prohibited material is brought into or used within the Studio, the Client will be responsible for the full cost of inspection, containment, removal, specialized cleaning, remediation, restoration, repair, or replacement of affected equipment, instruments, acoustic treatment, flooring, furnishings, or other Studio property, including all associated labor and materials, lost studio time, and canceled or displaced bookings.

Degraw Sound may end a session immediately where conduct presents a safety risk, threatens property, violates building rules or applicable law, materially disrupts neighboring occupants, or interferes with studio operations. Ending a session for such conduct will not entitle the Client to a refund or credit, and the Client will remain responsible for all amounts otherwise due.
